In addition to the standard policy above, during the course of prospecting to and assessing potential clients (the 'Company'), as well as during Client Engagements, May Dynamics as 'Consultant' often needs to collect sensitive and confidential information. This may include personal, financial and commercial information. We hold this information in the strictest confidence, and will never disclose it to a third party, with the exception of regulatory authorities in Australia, where we have a legal obligation to report it.
In order for May Dynamics to perform the consulting services, it may be necessary for the Company to provide May Dynamics with Confidential Information (as defined below) regarding the Company's business and products. The Company will rely heavily upon May Dynamics' integrity and prudent judgment to use this information only in the best interests of the Company. MAY DYNAMICS INTELLECTUAL PROPERTY
Throughout all assessments, consultations and client engagements, May Dynamics will retain the rights to its Intellectual Property, including but not restricted to, proprietary models, tools, templates, techniques and training materials.
Clients acquire the rights to such assets as May Dynamics creates for them, during the course of a consultation or egnagement, but not to the intellectual property (as defined above) from which these derived. Reproducing any May Dynamics intellectual property, in any form, is absolutely prohibited, except as explicitly agreed in a binding contract between the parties.
